Terms of Service

The agreement that governs your use of Kalvri, including your end-user license, arbitration, and the limits of our liability.

These Terms of Service (the “Terms”) are a binding legal agreement between you and Kalvri Care (“Kalvri,” “we,” “us”). They also serve as your end-user license agreement for the Kalvri app, together with the End User License Agreement, which is incorporated into these Terms. By creating an account or using Kalvri, you agree to these Terms, the EULA, and — depending on your role — the Independent Contractor Agreement (caregivers) or the Family Acknowledgment (families). If you do not agree, do not use Kalvri.

1. Important notice — please read

PLEASE READ THESE TERMS CAREFULLY. THEY INCLUDE A BINDING ARBITRATION AGREEMENT AND A CLASS-ACTION AND JURY-TRIAL WAIVER (SECTION 16), A LIMITATION OF OUR LIABILITY (SECTION 14), AN ASSUMPTION OF RISK (SECTION 12), AND A RELEASE OF CLAIMS (SECTION 15). THESE PROVISIONS AFFECT YOUR LEGAL RIGHTS.

Kalvri is an introduction service. We do not vet, screen, verify as safe, endorse, employ, supervise, train, control, or pay any user, and we do not run background checks. You are solely responsible for your interactions and for any decision to communicate with, meet, hire, or work with anyone you find through Kalvri.

2. Definitions

  • “Service” means the Kalvri app, this website, and related features.
  • “Family” means a user arranging care for themselves or a loved one (the “care recipient”).
  • “Caregiver” means a professional caregiver using the Service.
  • “User,” “you,” means anyone who uses the Service.
  • “Content” means anything you submit, including profiles, photos, intros, messages, and ratings.
  • “Engagement” means any arrangement, communication, meeting, or working relationship between users.

3. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use Kalvri. By using Kalvri, you represent that you meet these requirements and that the information you provide is accurate.

You are responsible for your account, for keeping your credentials secure, and for all activity under your account.

4. Kalvri is an introduction platform only

Kalvri is a neutral venue that surfaces compatibility suggestions and hosts conversations. Kalvri is not, and does not act as, an agency, employer, staffing or placement agency, home-care or healthcare provider, recruiter, fiduciary, payment processor, escrow agent, or insurer.

Kalvri does not refer, recommend (beyond algorithmic compatibility suggestions), vet, screen, verify as safe, endorse, guarantee, supervise, direct, or control any user or any care. We make no representation or warranty about any user's identity, qualifications, credentials, character, criminal or other history, conduct, or suitability.

"Suggested by compatibility, not vetted by Kalvri."

5. No vetting, no endorsement, no background checks

Compatibility suggestions and any verification, credential, or trust information are informational only and are not an endorsement, recommendation, or assurance of safety or suitability. You must not rely on them as a substitute for your own judgment and due diligence.

Kalvri runs no background checks. Any check is self-disclosed by a caregiver (status only, labeled as self-reported) or arranged by a family directly. See our Background Checks page. You are solely responsible for conducting any diligence, interviews, reference checks, and background or credential verification you consider appropriate.

The optional in-chat ID check, where offered, works like this: a family may ask a caregiver to confirm their identity, and the caregiver may freely decline. If the caregiver accepts, the document-and-selfie check is performed by Stripe (Stripe Identity) on Stripe's hosted flow, and Kalvri receives and displays only a pass/fail outcome. A passed check means only that a document check met Stripe's standard at that time — it is not vetting, screening, a background check, or an endorsement, and it says nothing about a person's safety, character, or suitability. If a fee applies, it is shown before the request is sent and is only charged if the caregiver completes the check.

6. No medical advice; emergencies

KALVRI IS NOT A HEALTHCARE OR MEDICAL PROVIDER AND DOES NOT PROVIDE MEDICAL, NURSING, OR OTHER PROFESSIONAL ADVICE. NOTHING ON KALVRI IS A SUBSTITUTE FOR PROFESSIONAL CARE OR JUDGMENT.

Kalvri does not assess, select, or supervise caregivers for medical suitability, and does not direct or oversee any care. Medical and care decisions are the responsibility of the family, the care recipient, and their licensed providers. If you have a medical emergency, call 911 or your local emergency number immediately — do not use Kalvri to obtain emergency help.

7. Independent-contractor relationship

Caregivers found through Kalvri are independent contractors engaged directly by the families who hire them. Kalvri is not their employer, agent, or joint employer, and nothing creates an employment, agency, partnership, or joint-venture relationship between any user and Kalvri. 8. Your responsibilities and due diligence

Because Kalvri vets no one, your own diligence is essential. You are solely responsible for evaluating, and accept all risk relating to, any user and any Engagement. This includes, as applicable:

  • Interviewing, checking references, and verifying credentials and eligibility.
  • Arranging any background check you want.
  • Supervising care and making your own hiring, payment, and care decisions.
  • Confirming insurance, tax, and any household-employer obligations that may apply to you.
  • Complying with all laws that apply to your situation.

9. Payments between families and caregivers

Kalvri doesn't handle payments. You arrange that directly.

By default, wages and any other payment for care move directly between the family and the caregiver, off-platform. Kalvri never collects, holds, escrows, or routes those funds, is not a party to any payment, and is not responsible for any payment, non-payment, tax, wage, or related dispute.

Optional in-app hiring payment (conditional — effective only if and when enabled). The app contains a payment feature that is disabled by default and becomes available only if and when Kalvri announces it in the app. If and when it is enabled: a family may pay a caregiver for a booked engagement through an in-app checkout processed by Stripe. The charge is a direct charge on the caregiver's own Stripe account — the caregiver is the merchant of record and the funds settle directly to the caregiver, never into a Kalvri-held balance. Kalvri charges the family a platform service fee of 1%, added on top of the caregiver's rate (the caregiver keeps their full rate), and the all-in total is displayed before you confirm. Payment-method details are collected and processed by Stripe; caregivers receiving payments must complete Stripe's payout onboarding and are subject to Stripe's Connected Account Agreement. Refunds and disputes for care payments are handled per the terms shown at checkout and Stripe's processes. Using the in-app payment is optional, and nothing about it makes Kalvri the employer, the hiring party, or a guarantor of any engagement.

10. The Kalvri membership — auto-renewing subscription

The Kalvri membership (Kalvri+) is an optional, auto-renewing subscription offered to family accounts. It is sold and billed exclusively through Apple In-App Purchase. Caregivers are never charged — Kalvri is always free for caregivers.

  • What you get — the full family matchmaking experience after your profile is created: messaging your matches, seeing everyone who likes you, and your daily compatibility picks. Features may change over time.
  • Price and billing period — the membership is offered as a weekly plan and an annual plan (the annual plan includes a free trial; a one-time discounted annual offer may be presented once — it expires when its timer ends or when you close it, and does not return). The price, billing period, and any trial are shown on the in-app paywall and the App Store purchase sheet before you buy — every per-week or per-month figure is displayed alongside the actual billed total — and payment is charged to your Apple ID at confirmation.
  • Automatic renewal — the subscription automatically renews for the same period at the then-current price unless you cancel at least 24 hours before the end of the current period. Your Apple ID is charged for renewal within 24 hours before the period ends.
  • How to cancel — manage or cancel anytime in your Apple ID subscription settings (Settings → your name → Subscriptions) or from the app's settings. Cancelling stops the next renewal; you keep access until the end of the paid period. Deleting the app does not cancel a subscription.
  • Free trials — a trial converts to a paid subscription at the price shown unless cancelled at least 24 hours before it ends.
  • Refunds — purchases are processed by Apple, and refunds are handled by Apple under Apple's policies (via Apple's Report a Problem process). Kalvri generally cannot issue App Store refunds.
  • No effect on safety or matching — the membership never buys a better-vetted caregiver, never changes anyone's compatibility score, and never alters any trust signal. It unlocks features only.

11. Acceptable use

When you use Kalvri, you agree not to:

  • Post false, misleading, fraudulent, or impersonating information.
  • Harass, threaten, defame, discriminate against, exploit, or harm anyone, including any vulnerable adult.
  • Post objectionable, illegal, infringing, or abusive content.
  • Solicit off-platform payment or contact to evade our safety tools or fees before trust is established.
  • Scrape, reverse engineer, interfere with, or attempt to gain unauthorized access to the Service.
  • Use the Service for any unlawful purpose, or if you are under 18 or on behalf of someone who is.
  • Use the Service to recruit for, or advertise, an unrelated business or service.

We may investigate and take action — including removing content and suspending or terminating accounts — for any violation, at our discretion.

12. Your content and community standards

You keep ownership of your Content. You grant Kalvri a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your Content as needed to operate and improve the Service. You represent that you have the rights to your Content and the authority to share any information about a care recipient that you provide.

Kalvri has zero tolerance for objectionable content and abusive behavior. You can report or block another person at any time from the conversation. We act on reports within 24 hours — removing content and removing people who violate these standards. If you believe content infringes your copyright, contact us and we will respond to valid notices.

Your honest reviews are yours. Nothing in these Terms prohibits or restricts you from posting a truthful, good-faith review of your experience, on or off the Service, and we will never penalize you for one (Consumer Review Fairness Act, 15 U.S.C. § 45b). What we prohibit is content you know to be false, defamatory, or filed in bad faith.

13. Third-party services and links

The Service may reference or link to third-party services we do not control. We are not responsible for, and do not endorse, third-party services, and your use of them is at your own risk and subject to their terms.

14. Disclaimers of warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

Without limiting the above, Kalvri makes no warranty that the Service will be uninterrupted, secure, or error-free; that any profile, credential, rating, or other information is accurate, complete, or current; that any user is who they claim to be, is qualified, safe, or suitable; or that any match, response, hire, or outcome will result. Some jurisdictions do not allow certain warranty exclusions, so some of the above may not apply to you.

15. Assumption of risk

YOU KNOWINGLY AND VOLUNTARILY ASSUME ALL RISKS ARISING FROM YOUR USE OF THE SERVICE AND FROM ANY ENGAGEMENT — INCLUDING COMMUNICATING WITH, MEETING, ALLOWING INTO A HOME, HIRING, OR WORKING WITH PEOPLE WHO ARE NOT VETTED BY KALVRI.

You understand that Kalvri introduces people who are otherwise strangers, that interactions may occur in person and in the home, and that they may involve elderly, ill, disabled, or otherwise vulnerable adults. You are responsible for taking appropriate precautions to protect yourself, your household, and any care recipient.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KALVRI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DATA, GOODWILL, OR FOR PERSONAL INJURY, EMOTIONAL DISTRESS, PROPERTY DAMAGE, OR DEATH, ARISING FROM OR RELATED TO THE SERVICE OR ANY ENGAGEMENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER THEORY, EVEN IF ADVISED OF THE POSSIBILITY.

To the fullest extent permitted by law, Kalvri's total aggregate liability for all claims relating to the Service will not exceed the greater of (a) the amounts you paid Kalvri in the twelve months before the event giving rise to the claim, or (b) one hundred U.S. dollars (US$100). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you; in that case our liability is limited to the greatest extent permitted by law.

17. Release of claims

Because Kalvri is only an introduction platform, you release Kalvri and its affiliates, officers, employees, and agents from any and all claims, demands, damages, and liabilities of every kind, known and unknown, arising out of or in any way connected with any Engagement or any dispute or interaction with another user (including the conduct, acts, or omissions of any user or care recipient).

If you are a California resident, you waive California Civil Code section 1542, which says: “A general release does not extend to claims that the creditor or releasing party does not know or suspect to exist in his or her favor at the time of executing the release and that, if known by him or her, would have materially affected his or her settlement with the debtor or released party.” Residents of other jurisdictions waive any similar law to the extent permitted.

18. Indemnification

You agree to defend, indemnify, and hold harmless Kalvri and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to: your use of the Service; your Content; your conduct; any Engagement; your violation of these Terms or of any law; or any claim brought by a care recipient or other third party in connection with you.

19. Dispute resolution; arbitration; class-action waiver

First, let's try to resolve it informally: please contact us and give us 30 days to work it out before starting a formal proceeding.

BINDING ARBITRATION; CLASS-ACTION AND JURY-TRIAL WAIVER. EXCEPT AS NOTED BELOW, YOU AND KALVRI AGREE TO RESOLVE ANY DISPUTE THROUGH FINAL AND BINDING INDIVIDUAL ARBITRATION, NOT IN COURT. YOU AND KALVRI WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION.

Arbitration will be administered by a recognized arbitration provider under its consumer rules, before a single arbitrator, in the county of your residence or another mutually agreed location. Either party may bring an individual claim in small-claims court instead, and either party may seek injunctive relief in court to protect intellectual property. You may opt out of this arbitration agreement by emailing support@kalvri.com within 30 days of first accepting these Terms (include your name and account email); if you opt out, the governing-law and venue section below applies instead, and we will never penalize you for opting out. If the class-action waiver is found unenforceable as to a particular claim, that claim proceeds in court while the rest of this section still applies.

Coordinated (mass) arbitrations. If 25 or more arbitration demands of a similar nature are filed against Kalvri with the assistance or coordination of the same or coordinated counsel or organizations, the following staged process applies: (a) counsel for the claimants and for Kalvri each select 10 demands per side to proceed first as bellwether arbitrations; (b) all other demands are held in abeyance — with no filing or administrative fees due on them — until the bellwethers conclude; (c) the parties then engage in a global mediation for at least 30 days informed by the bellwether outcomes; and (d) any remaining demands may then be filed in successive batches of 100 per stage, with fees due only as each batch is filed. Any statute of limitations applicable to a held demand is tolled from the date it was first submitted until it may proceed under this paragraph. A court of competent jurisdiction — not an arbitrator — may enforce this paragraph; if it is found unenforceable, it is severed and the rest of this section continues to apply.

The enforceability of arbitration and class-waiver provisions varies by jurisdiction and is subject to applicable law. This section is also published as a standalone page at /legal/arbitration; if the two ever differ, this section controls.

20. Governing law and venue

These Terms are governed by the laws of the U.S. state in which Kalvri is established, without regard to conflict-of-laws rules. Subject to the arbitration section, the state and federal courts located there have exclusive jurisdiction, and you consent to that venue.

21. Apple App Store

If you obtain the Kalvri app from the Apple App Store, these Terms are between you and Kalvri, not Apple. Apple has no obligation to provide support or maintenance for the app, and Apple is not responsible for any claims relating to the app. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them. You also agree to comply with the App Store Terms of Service.

22. Termination

You may stop using Kalvri and delete your account at any time. We may suspend or terminate access at any time, with or without notice, including for violations of these Terms or to protect users. Sections that by their nature should survive termination — including disclaimers, assumption of risk, limitation of liability, release, indemnification, and dispute resolution — survive.

23. Changes and miscellaneous

We may update these Terms from time to time; we will post the updated version here and revise the date above, and continued use after an update means you accept the revised Terms.

  • Entire agreement — these Terms and the documents they reference are the entire agreement between you and Kalvri.
  • Severability — if any provision is unenforceable, the rest remains in effect.
  • No waiver — our failure to enforce a provision is not a waiver.
  • Assignment — you may not assign these Terms; we may.
  • Force majeure — we are not liable for delays or failures caused by events beyond our reasonable control.
  • Headings are for convenience only.
